Use W-8BEN (individual) or W-8BEN-E (entity) for non-U.S. contractors. Certifies foreign status, eliminates U.S. withholding obligations in most cases. Get it before the first payment.

IP Under U.S. Law

Many countries (especially EU) have moral rights that survive assignment. Govern under U.S. law and include explicit waiver language where local law permits.

Permanent Establishment Risk

A long-term contractor working exclusively for your company can create a tax presence for you in their country. Specify they may serve other clients. Then make sure they actually do, or at minimum, have the right to.

Currency

Pay in USD or specify a fixed exchange rate at signing. If the rate moves 10% between signing and payment, someone's unhappy.
